Terms of Service

These Terms of Service ("Terms") govern your use of the Big-AGI website and hosted services, operated by Token Fabrics LLC ("Token Fabrics," "we," "us," or "our"), based in San Diego, California. By accessing or using our website or hosted application, you agree to these Terms. If you do not agree, do not use the service. Self-hosted deployments of the open-source code are governed by the MIT License, not these Terms.

These Terms should be read alongside our Privacy Policy, which describes how we handle your information.

The Service

Big-AGI is a local-first, multi-model AI workspace. It lets you work with multiple AI providers simultaneously - comparing outputs, refining your thinking, and deciding with confidence. Big-AGI operates on a Bring Your Own Key ("BYOK") model: you connect your own API keys for AI services, and your data stays in your browser by default.

Big-AGI is available in three tiers:

Big-AGI Open (self-hosted): The open-source codebase under the MIT License, deployed on your own infrastructure. You are solely responsible for your deployment, data, and compliance.
Big-AGI Free (app.big-agi.com): The full hosted experience at no cost, including multi-model Beam, Personas, and our complete workspace. Requires your own API keys for AI providers.
Big-AGI Pro (paid subscription): Everything in Free, plus Cloud Sync across devices, additional storage, and priority support.

Account and Eligibility

You must be at least 13 years old (or 16 in the European Economic Area) to use Big-AGI. By creating an account, you represent that you meet this age requirement. You are responsible for maintaining the security of your account credentials and for all activity under your account. By creating an account, you also consent to receive electronic communications from us, including transactional messages (such as login emails and billing notices), service announcements, and occasional product updates. You can unsubscribe from non-essential communications at any time.

The MIT License governs the open-source code. These Terms govern your use of the hosted services (Free and Pro tiers) and the Big-AGI website.

API Keys and Third-Party AI Services

Big-AGI operates on a BYOK model. You provide your own API keys for AI services such as OpenAI, Anthropic, Google Gemini, and others. When you use these services through Big-AGI:

You are solely responsible for the security, use, and costs associated with your API keys.
Your prompts, conversation history, and attachments are sent directly to the AI provider you select.
Each provider's own terms of service and privacy policy govern their handling of your data.
Token Fabrics is not liable for any charges, data processing, or actions taken by third-party AI providers.

Your API keys are stored locally in your browser. When requests are routed through our servers, your keys may be present in transit but are never logged, stored, or used beyond fulfilling your request. We recommend rotating keys periodically and reviewing each provider's terms before use.

Subscriptions and Billing

Big-AGI Pro is a paid subscription service. By subscribing, you agree to the following:

Payments are processed by Stripe. We never store your credit card or payment details.
Subscriptions renew automatically at the end of each billing period (monthly or annual) unless canceled.
You may cancel your subscription at any time through the app. Cancellation takes effect at the end of the current billing period - you retain access to Pro features until then.
Refunds may be requested within 14 days of charge at our discretion by contacting hello@big-agi.com.
We may change pricing at any time. Price changes take effect at the start of your next billing period.

Pro features may be expanded over time. We will notify subscribers before making material changes to Pro features. Features labeled as beta, experimental, or preview are provided without additional warranty and may be modified or discontinued without notice.

We reserve the right to suspend or terminate any subscription immediately if we reasonably suspect fraudulent activity, including use of stolen or unauthorized payment methods. No refund is owed in such cases.

Data Storage and Cloud Sync

Big-AGI follows a local-first architecture. By default, your data - conversations, personas, preferences, and attachments - is stored in your browser's local storage (IndexedDB and localStorage) and does not leave your device.

Cloud Sync (Pro only) enables synchronization of your data across devices via our servers. When Cloud Sync is enabled, your data is encrypted in transit and at rest. You can disable Cloud Sync at any time to return to local-only storage.

You may export your data from the app at any time, in the formats made available by the application. If we discontinue the service, we will make reasonable efforts to provide notice and an opportunity to export your data.

If you cancel your Pro subscription, your cloud-synced data will be retained on our servers for 6 months after cancellation. After this period, server-side data may be permanently deleted without further notice. Your local browser data is unaffected. Shared Content

You may share conversations via unique links. Shared content is publicly accessible to anyone with the link and can be cloned by others for their own use. Shared content expires after 90 days by default unless you extend it. You are responsible for ensuring that shared content does not include sensitive personal information, confidential data, or material that violates these Terms.

User Conduct

You agree not to use Big-AGI to:

Violate any applicable laws or regulations
Generate, store, or distribute content that is illegal, harmful, defamatory, discriminatory, or otherwise malicious
Attempt to gain unauthorized access to our systems, other users' data, or third-party services
Interfere with or disrupt the service, servers, or networks
Use the service to harm, exploit, or endanger minors
Reverse-engineer, decompile, or attempt to extract the source code of our proprietary backend services (the open-source client code is freely available under the MIT License)

We reserve the right to suspend or terminate access for users who violate these Terms. Where possible, we will provide notice and a reasonable opportunity to export your data before termination takes effect. In cases of severe violations (illegal activity, active harm to other users or systems), we may terminate access immediately.

Intellectual Property

Your content: You retain ownership of all content you create, input, or upload to Big-AGI. We do not claim ownership of your conversations, personas, or other user-generated content. We do not use your content to train AI models. By using the hosted service, you grant us a limited license to process your content solely as necessary to operate, maintain, and debug the service (for example, syncing data across your devices or resolving technical issues). This license terminates when you delete your content or account.

AI-generated output: You own the outputs generated by AI models through your use of Big-AGI, to the extent permitted by applicable law and the terms of the respective AI provider. We do not claim any ownership of AI-generated outputs. You are responsible for reviewing each provider's terms regarding output usage rights.

Our service: The Big-AGI name, logo, website design, and proprietary backend services are the property of Token Fabrics LLC. The open-source client code is licensed under the MIT License as described above.

Analytics and Infrastructure

Beyond the AI providers described above, Big-AGI relies on analytics tools (Google Analytics, PostHog, Meta Pixel, Vercel Analytics), payment processing (Stripe), and infrastructure providers (Vercel, Supabase). These services operate under their own terms and privacy policies, and we are not responsible for their availability, accuracy, or conduct. Details on each service, including opt-out options for analytics, are in our Privacy Policy.

Disclaimer of Warranties

Big-AGI is provided on an "as-is" and "as-available" basis. Token Fabrics makes no warranties, express or implied, regarding the service, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not warrant that the service will be error-free, secure, or available at all times. No service level agreement (SLA) is provided unless separately agreed in writing.

AI-generated outputs may be inaccurate, incomplete, or biased. You are solely responsible for evaluating and relying on any content generated through the service. AI outputs do not constitute professional advice - do not rely on them for medical, legal, financial, or other professional decisions without independent professional consultation.

Limitation of Liability

To the maximum extent permitted by applicable law, Token Fabrics LLC, its owner, contributors, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising from: (i) your use of or inability to use the service; (ii) any conduct or content of third parties on the service; (iii) any content obtained from the service; or (iv) unauthorized access, use, or alteration of your data - whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Our total aggregate liability for any claims arising from or related to these Terms or the service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless Token Fabrics LLC, its owner, contributors, and service providers from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your use of the service, or your violation of any rights of a third party.

Modifications to Service and Terms

We may modify, suspend, or discontinue any part of Big-AGI at any time. For paid subscribers, we will provide reasonable notice of changes that materially affect Pro features.

We may update these Terms from time to time. When we make material changes, we will notify you through the application, by email, or by posting a prominent notice on our website. The "Last updated" date at the top indicates the most recent revision. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.

General Provisions

Governing law. These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Disputes shall be resolved in the courts located in San Diego County, California. If you are a consumer in the European Economic Area or United Kingdom, nothing in these Terms affects your rights under mandatory local consumer protection laws, and you may bring proceedings in your local courts.

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Token Fabrics regarding the service and supersede all prior agreements, communications, and understandings.

Severability. If any provision of these Terms is found unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions continue in full force and effect.

Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment. You may not assign or transfer these Terms or your account without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Limitation period. Any claim arising from or related to these Terms or the service must be filed within one (1) year after the cause of action arises, or the claim is permanently barred.

Survival. The provisions regarding intellectual property, limitation of liability, indemnification, disclaimer of warranties, and governing law survive termination of these Terms and your account.

Force majeure. Token Fabrics shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, pandemics, government actions, power or internet failures, or failures of third-party infrastructure providers.
